This Privacy Policy describes how Docsketch, LLC (DBA SignWell) a limited liability company governed by the laws of the State of Oregon (“SignWell,“ "us," "we," or "our"), collects, stores, uses your personal information (as defined below), under what circumstances it might share or disclose it and how your information is being stored and protected in connection with our provision of the Service. It is vital that you read this Privacy Policy carefully before using www.signwell.com website ("Service") operated by SignWell. The Service is a platform where users of the Service may execute legal instruments using their electronic signatures.

By using the Service, you consent to SignWell’s practices of collecting, storing, using, sharing, disclosing, and protecting your personal information as part of our Service. If you agree to consent to this Privacy Policy on behalf of an entity, "you," "your," or “yours” will refer to and apply to that entity. If you do not agree with and consent to all the practices described in this Privacy Policy, please discontinue using the Service.

Definitions

• As used in this Privacy Policy, “Personal Information” means any information that identifies or can be used to identify or contact a person, directly or indirectly, the processing of which is subject to applicable data privacy laws. Such Personal Information may include, but is not limited to, a name, identification number, an online identifier, mailing or billing address, email address, telephone number, photo, signature, Internet Protocol (“IP”) address, location data, cookie identifier, date of birth, billing or credit/debit card information. The term “Personal Information” does not include aggregate information, which is data we collect about the use of the Service or categories of such users, unless it is linked with your other Personal Information.
• “Non-Personal Information” means information that cannot be used to identify or contact a person. Such Non-Personal Information may include, but is not limited to, anonymous statistical data.
• “Content” means any information, text, documents, graphics, videos, or other materials uploaded, posted, displayed, shared, and otherwise made available on or through the Service.

Note that SignWell processes all personal information made available to the Service in the same manner. While SignWell uses industry standard security measures to secure its data, certain categories of personal information may require higher standards of data confidentiality or data security than others. It is your sole responsibility to review the information made available to you about SignWell’s security measures (https://www.signwell.com/security/) and ensure that you are able to use the Service, and to authorize the Service to process any Personal Information in connection with your use of the Service, on the terms set forth in this Privacy Policy.

You acknowledge and agree that you, not SignWell, are solely responsible for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all Personal Information that you submit, and for ensuring that any Personal Information that you provide is kept up to date for the purposes for which you provide it. Inaccurate information may affect your ability to use the Service, the information you receive when using the Service, and our ability to contact you.

What Personal Information Is Collected, How It Is Used, and When It Is Shared

We collect both Personal Information about you in connection with providing the Service to you. The purposes for which we will process your Personal Information will vary according to your use of the Service; however, those purposes may include establishing and managing your use of the Service; responding to your e-mails, submissions, comments, requests for technical support or assistance, or complaints; developing, customizing, and improving the Service, and the resources that we provide; protecting the security of our networks and information systems; identifying and protecting against fraud, prohibited or illegal activities, as well as potential third-party claims and other liabilities; providing, supporting, personalizing, and developing our Site and Service; personalizing your experience with our Service and delivering product and service offerings relevant to your interests.

For more information, below we describe the Personal Information we collect about you, how and why we use it, and under what circumstances your Personal Information may be shared with others:

• Account Registration. Upon registering for an account, we ask you to provide your full name, email address, and create a password. We collect this information for the purpose of providing you with the Service, servicing your Subscription, identifying you as a user, sending you updates about our Terms of Service, Privacy Policy, or other legal notices and marketing offers, or responding to your requests/inquiries.
• Your Content. Any information, text, documents, comment you leave for any third party inside any document, graphics, videos, audio files, or other materials uploaded, posted, displayed, shared and otherwise made available by you on or through the Service will be collected and stored by us for the purpose of providing you with the Service or servicing your Subscription. This includes any information you fill out inside any document (for example, when you are asked to fill out and sign an agreement). Your Content is not shared with anyone except those you voluntarily decide to share it with. For example, SignWell allows users to access certain integrated third-party features within the Service (“Third-Party Integrations”) by opting to link to their accounts with such third-party services. The information practices of such third parties are not covered by this Privacy Policy. When you enable any Third-Party Integrations, you authorize SignWell to transmit your Content to these services at your direction. You acknowledge that use of the Third-Party Integration may involve the exchange and processing of personal data by SignWell and the third party. Further, you agree that you are solely responsible for your Content, including obtaining any necessary consents and permissions for the processing of your Content as part of a Third-Party Integration. You assume all risks associated with the use and sharing of your Content, including any reliance on its accuracy, completeness or usefulness by others, or any disclosure of your Content that makes you or any third party personally identifiable.
• Your Financial Data. One of such third-party service providers that we work with is Stripe (a third-party payment processing company). It handles payment operations for us. When you want to pay for your Subscription, you will be asked to provide a valid credit or debit card number, full name, billing address, and telephone number. We collect such pieces of information and forward it to Stripe. Stripe is responsible for processing and storing your payment data. • Cookie Identifiers. “Cookies” are small files created by websites a user visits. They are designed to hold a modest amount of data specific to a particular user and website, and can be accessed either by a web server or such user’s computer. Cookies are a convenient way to carry information from one session on a website to another, or between sessions on related websites, without having to burden a server machine with massive amounts of data storage. Storing the data on the server without using Cookies would also be problematic because it would be difficult to retrieve a particular user's information without requiring a login on each visit to the website. If there is a large amount of information to store, then a Cookie can simply be used as a means to identify a given user so that further related information can be looked up in a server-side database. For example, the first time a user visits a site, they may choose a username, which is stored in the Cookie, and then provide data such as password, name, address, preferred font size, and so on. This information would all be stored in a database using the username as a key. Subsequently, when the site is revisited, the server will read the cookie to find the username, and then retrieve all the user's information from the database without making the user re-enter it.
  • Note that we use necessary Cookies, functional and performance Cookies (such as session Cookies, which enable the Service to keep track of your movement from webpage to webpage so you are not asked to re-sign in or enter the same information you have already provided during an active browser session), and analytical, and advertising the following cookies for administrative, marketing, and other purposes. If you refuse the use of Cookies, some features of the Service may not work or will be disabled. In order to ensure smooth operation of the Service, you should accept the use of Cookies. You may instruct your browser to refuse all cookies or to indicate when a cookie is being sent. The Help feature on most browsers provides information on how to accept cookies, disable cookies or to notify you when receiving a new cookie.

• Google Analytics and Similar Analytics Tools. When you visit, use, and interact with the Service, we automatically collect data about those visits, uses, or interactions. We may use analytics service providers, including Google Analytics, to collect information regarding visitors to our Service. We may also collect and process analytical and statistical data regarding your use of our Service to enable us to maintain, develop, and improve the features and performance of our Service, and otherwise for the purposes described in this policy. Third-party services such as Google Analytics and Amplitude help businesses and site owners analyze the traffic to their websites and mobile applications by collecting, monitoring, and analyzing such Personal Information. Personal Information collected may depend on the type of device you use and its settings; however, the types of information that we collect include the following:
  • Usage and Engagement Data: Metadata about your activities on and use of the Sites and Service, such as the types of content that you view or engage with, the features you use, and the actions you take, as well as your time zone, country, the dates and times of access, user agent and version, type of computer or mobile device, computer connection, your IP address.
  • Log Data: Information that your browser automatically sends whenever you visit our Site(s), such as your IP address, browser type and settings, the date and time of your request, and how you interacted with our Service.
  • Device Information: Name and model of your device, the operating system used, and the browser that you are using.

We may share your email address, name, and IP address with Amplitude to help us better analyze the traffic of the Service. By using the Service, you agree that we may use third-party services such as Google Analytics and Amplitude to help us analyze the traffic to the Service. • Google/Facebook's Remarketing Service. SignWell uses Google and Facebook's remarketing services to show advertisements to you on third-party websites after you have visited the Service (also called interest-based advertising). • Email Marketing. We and Userlist (a third-party service provider and email campaign service) may use your email address to contact you with newsletters, marketing or promotional materials, and other information that may be of interest to you. You may opt out of receiving any, or all, of these communications from us or our partner by following the unsubscribe links or instructions provided in any emails we or our partners send. We only send marketing e-mails to persons who have provided their e-mail addresses and who have consented to receive communications from us. Please note that even if you opt out of receiving e-mails from SignWell, you may still receive relationship e-mails from us, including responses to e-mails that you sent to us prior to opting out, notices of updates or changes to our policies and procedures, or other messages relating to your account or your use of the Service.
• Hubspot (Third-party services) We utilize HubSpot, a customer relationship management (CRM) platform, to enhance user interactions and improve our services. HubSpot may collect and process personal data on our behalf, such as contact information and usage data, to assist us in managing customer relationships, conducting marketing activities, and analyzing service performance. • Business Transfers or Bankruptcy. We may sell, transfer, or otherwise share some or all of our assets, including your Personal Information, in connection with a merger, acquisition, reorganization, or sale of assets or in the event of bankruptcy.
• Disclosures for Legal Purposes. We may disclose your Personally Identifiable Information if required to do so by law or in the good faith belief that such action is necessary to (i) comply with a legal obligation, (ii) protect and defend our rights or property, (iii) act in urgent circumstances to protect the personal safety of Service users or the public, or (iv) protect us from legal liability.

We do not process your Personal Information except as required to provide the Service to you, as specified in this policy, with your consent, or as otherwise permitted by law. We will not collect additional categories of Personal Information or use the Personal Information that we collect for materially different, unrelated, or incompatible purposes without providing notice to you.

Use and Disclosure of Non-Personal Information

We reserve the right to use and disclose Non-Personal Information, such as anonymous, statistical, or aggregated data, for any purpose and to share it with any third party at our sole discretion. Such aggregated data does not allow any party to identify you or any other specific user, and is not Personal Information subject to this Privacy Policy.

Security

Your connection to the Service is secure and encrypted using SSL (Secure Sockets Layer), which is the standard "secure" connection used in the HTTPS protocol.

We host information about you in a secure server and cloud-based environment provided by Amazon.com, Inc. ("AWS"). AWS takes top security measures in order to ensure safe retention and storage of Personal Information. Despite these measures, however, you should know that we cannot fully eliminate security risks associated with your information. You are responsible for all uses of the Service by any person using your account.

FOR USERS FROM THE EU: YOUR RIGHTS WITH REGARD TO INFORMATION WE COLLECT ABOUT YOU

If you are accessing the Service from European Economic Area, Switzerland, or the United Kingdom, and are subject to any one of (i) the General Data Protection Regulation, (ii) data protection laws implemented by member states of the EU in harmony with the General Data Protection Regulation, or (iii) the UK Data Protection Act of 2018, as amended and incorporated into UK law (collectively, the “GDPR”), you have the following rights with regard to information about you. • the right to be informed about what kind of Personal Information about you is collected, stored, processed, and disclosed by us; therefore, we have compiled this Privacy Policy for you;
• the right of access (you can request us to provide you verbally or in writing with the Personal Information that we store about you, and we have a month to respond to your request);
• the right to rectify any Personal Information that is inaccurate;
• the right to erasure (subject to certain restrictions—see the sections below);
• the right to restrict processing of your Personal Information; however, if you restrict us from processing a part of Personal Information that is essential to our provision of the Service, you may be asked to terminate your account and stop using the Service;
• the right to data portability allows users of the Service to obtain and reuse their Personal Information for their own purposes across different services; you may request us to transmit your Personal Information directly from our servers to another company’s servers, and we will do so where it is technically feasible.
• the right to object (you have an absolute right to stop Personal Information being used for direct marketing, read our opt-out instructions below);

We do not process Personal Information for automated decision-making or profiling purposes in a manner restricted by the GDPR.

Lawful Grounds.

We rely on the following lawful grounds under the GDPR to process your Personal Information: (a) it is necessary for the performance of a contract with you; (b) our or a third-party’s legitimate business interest; or (c) your consent.

Data Transfer Notice.

We are located in the United States and transfer your Personal Information for processing in the United States. We make the transfer to the United States in the absence of an adequacy decision because it is necessary for the performance of a contract with you, or with your consent.

Exercise of Rights.

If we are processing your Personal Information based upon the lawful grounds of your consent, you have the right to withdraw your consent for such processing at any time without affecting the lawfulness of processing based on consent before it is withdrawn.

To process your request, we will need to verify your identity (and, where applicable, your authorized agent’s authority to make the request on your behalf) as well as other information about you to process your request. You may only make a verifiable request twice within a twelve-month period. We will not discriminate against you for exercising any of your rights regarding your information. We will respond to all data subject requests directly within the time period required by applicable law.

Data Retention; Opt-Outs

In general, we will retain your information for as long as your account is active or as needed to provide you with the Service. We will retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.

For users accessing the Service from the EU: In accordance with the EU’s General Data Protection Regulation, we delete, anonymize, or erase Personal Information once such information is no longer needed for its original processing purpose, or the impacted person has withdrawn his/her consent and there is no other reason for justification for the processing, or erasure is required to fulfil a statutory obligation under the EU law or the right of the Member States. You may request us to erase your Personal Information verbally or in writing using the contact information provided in the “Contact Us” section below, and we have a month to respond to any such request. Note, however, that we may retain and use certain Personal Information as necessary to comply with applicable laws and our legal obligations, resolve disputes with any parties, and otherwise as needed to provide the Service that you have requested.

Do Not Track Disclosure

We support Do Not Track ("DNT"). Do Not Track is a preference you can set in your web browser to inform websites that you do not want to be tracked. You can enable or disable Do Not Track by visiting the preferences or settings page of your web browser.

Links to Third-Party Web Sites

Our Service may contain links to third-party websites (through ads that they post in the Service) about products or services that are not owned or controlled by SignWell.

SignWell has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third-party websites. We do not warrant the offerings of any of these entities/individuals or their websites.

You acknowledge and agree that SignWell shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any content, goods or services available on or through any such third-party website.

We strongly advise you to read the terms and conditions and privacy policies of any third-party website that you access through a link available in the Service.

Children's Privacy

Only persons aged 18 or older have permission to access our Service. We do not knowingly collect Personal Information from anyone under the age of 18. If you are a parent or guardian and you learn that your child has provided us with Personal Information, please contact us immediately. If we become aware that we have collected Personal Information from anyone who is under 18 without verification of parental consent, we will take steps to remove that information from our servers.

Changes to Privacy Policy

We reserve the right, at our sole discretion, to modify or replace this Privacy Policy at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any modifications become effective, you consent to all the practices described in the updated Privacy Policy. If you do not agree to the updated Privacy Policy, please terminate your account and stop using the Service.

Regarding Our Exemption From International And State Data Privacy Laws

As of the “Last Updated” date indicated on this page, SignWell is not subject to the state-level data privacy laws in the United States (including, without limitation, those affected in Colorado, Connecticut, Delaware, Indiana, Iowa, Oregon, Tennessee, Utah, and Virginia).
